Swaplogic Help - Your Complete Source!

Overview
If you are here, you might be asking yourself, "In the vast sea of web applications sites out there in cyberspace, why am I here at Swaplogic, and why should I come back?" Hopefully this tutorial can answer most of your questions.

Swaplogic has many facets. It is a marketplace for goods and services. It is a place for self promotion of the products or services that you offer. It is a collaborative multimedia art project that integrates words, images, video, and audio into powerful messages. It is a place to do research and provide feedback for reviews on people, places and things. It is a place where members can express themselves freely and use the power of collaboration. It is a place where Accountability is paramount and is the foundation of the Swaplogic system.

Why Accountability?
First and foremost, we at Swaplogic use the term Accountability quite liberally so we feel as though we should make one important distinction: Accountability is not Credibilty. By our definition, Credibility is an implied reputation. Credibility is often translated into trust in that person or product. Anecdotes and commentary are great tools for conducting research, but where these bits of information can fail is in their lack of relation to a specific event. If you can tie feedback to a event that was agreed upon (in verbal or written form), this information gains value. With that in mind, we define Accountability as a factual reputation that can be proven by the outcome of a contractual agreement. At Swaplogic, we have created an environment for you prove that you are accountable for your actions, and meet, communicate with, and transact with people that are the same. One day, we hope that people will use Swaplogic as a tool to determine Credibility through Demonstrated Accountability.

OK, enough with the Philosophy... What is Swaplogic?
Swaplogic is a community that collaborates information to demonstrate the that they are accountable for their actions, want to meet/communicate/transact with similar people, and the products/services they buy and sell.

What does Swaplogic offer?

How does the Swaplogic Community Work?
Swaplogic operates on 3 fundamental functions:
1. Create Contracts between two Swaplogic Members
2. Create Classified Ads
3. Demonstrate Accountability through a Public Track Record
Swaplogic includes a number of other features and functions, but they all revolve around these three things.

Here is a quick list of all the Swaplogic Help Resources

DISCLAIMERS
By using Swaplogic, you agree to our Terms of Use agreement as well as our Privacy Policy. If you do not agree with any of the contents of those policies, please do not use this site.

We at Swaplogic are trying to make the world a better place by bringing forward the concept of public accountability in an easy to use and efficient format, BUT by no means is Swaplogic, the SwapScore, or any other contents of Swaplogic.com a guarantee of performance, a substitute for proper due diligence or a legal opinion that is advised from a qualified legal professional and considers the law of the region/country you live in! So please use this service as a tool to help you in all of your personal and professional dealings, but exercise caution, prudence and diligence with or without the help of Swaplogic’s services. Swaplogic takes no responsibility for the outcomes of contracts drafted, negotiated or finalized on Swaplogic.com. Protect your personal information at all costs and share it on this website at your own risk. Just to reiterate: you bear all of the risk associated with using and/or participating in the Swaplogic community.

A Few Words about Privacy
We here at Swaplogic realize that by creating an environment that thrives on transparency that members could potentially be left exposed. Be aware of this risk, not only on Swaplogic, but on other Internet websites as well. Please, please, PLEASE use common sense, exercise prudence, air on the side of reasonable caution and PROTECT YOUR PERSONAL INFORMATION AT ALL COSTS. Never publicly reveal any information that you would consider private in Contracts, Bids, Asks, Comments, Communications, Emails and so on. If you choose to do so, you assume all of the risk inherent in making your private information public. This includes sharing any of your private information including, but not limited to: Swaplogic will not assume liability for any actions that you or others may undertake to make your private information public. If you have knowledge of a security breach, contact Swaplogic and report the matter by clicking here. Any information posted on the Internet is potentially viewable by millions of people. Please remind yourself of this any time you use Swaplogic or any other website.

The Reality of Public Information on the Internet
Unfortunately, you cant prevent what people will say or write about you, especially on the Internet where anonymity is inherent. Swaplogic works to reduce this by requiring that Members are accountable for the things they say/do. You must be registered with a valid email account in order to add any content to Swaplogic, including Contracts, Bids/Asks, Multimedia, and even Comments. We require this as a way to enforce accountability.

Still, even with the measures that we have taken to enforce accountability on Swaplogic, it is difficult to prevent people from acting in a malicious manner (no matter how idiodic and pointless that might be). But herein lies an opportunity to exploit the power of the collaborative community. Swaplogic is more than just a place for classified ads and contracts. Its a forum that members can use to debate that validity of any claim made on the site.

For example, there are occasional items that make the news about Teachers that have a Myspace or Facebook profile that their students feel entitled to comment upon with malicious words. Unfortunately, the only way to absolutely prevent such an event would be for the Teacher to not have an account to begin with. But that hardly seems fair since the Teacher feels equally entitled to

Quick Start and Tour
Swaplogic is best described as a community that embraces accountability within professional and personal dealings. On Swaplogic you can promote yourself, express yourself, look for business opportunities and do research on products, people and services. Below, we have a quick tour that might help you start on your path to showing that you are accountable and that you only deal with other accountable people!

Step 1: Search
Search the site for anything and everything. This is where your journey through Swaplogic begins. There are many different types of searches available on Swaplogic:

Step 2: Register an Account
Your name, address, and profession/job are required for registration. This assists in localizing the goods and services that you can offer or request. Your exact location will not be revealed

Step 3: Upload multimedia for use with your Account (Optional)
Uploading multimedia is entirely optional, but it does make for a more exciting and colorful transaction. You can upload images and video to your Swaplogic Gallery (there is a current bandwidth limit of 25Mb per month for standard users). Once media is uploaded, you can use it anywhere in account activities. Examples of where to use your multimedia are:

Step 4: Start Transacting
At this point, you must decide how you'd like to transact on Swaplogic. You essentially have three options:

OPTION #1: Request Products or Services (Create an Ask)

OPTION #2 - Sell Products Products or Services (Create a Bid)

Respond to a Posted Bid or Ask
If you find a Bid that interests you, you may want to inquire about it. A bid is essentially just an quote for goods or services, so you can Invite the Bidder to create a contract that is specific to your requirements. The process is exactly the same as the instructions for creating a contract, which is detailed below in Option #3.

If you find an Ask that appeals to you, you may want to respond to it by drafting a Contract to the Asker that tries to fill that the need requested. The process is exactly the same as the the instructions for creating a Contract, which is detailed below in Option #3.

OPTION #3: Got an Idea for an Agreement? Found a Member to Transact with? Don't wait... Create a Contract!

Step 5: Maintaining your Contracts
There are various contract Status levels. Each one requires different attention by you.

Step 6: Filing Feedback
Feedback is crucial to building track records on Swaplogic. It is important that every person that provides feedback acts in a judicious manner and avoids any undue malicious action. Feedback is best delivered in a timely manner (if not done in 90 days, you will receive negative feedback as a result automatically, even if your counterparty has provided positive feedback on your performance). Feedback is also most effective when relevant details are included like Pros and Cons, as well as Multimedia to add descriptive detail to the feedback.

Step 7: Finished? Keep building your Track Record!
Finished your contract and completed all of the terms just as you said you would? Great! That's what you're here to prove! Keep building your track record by adding more and more content to Swaplogic. Be creative. A contract can come out of any idea, no matter how small or large!

Detailed Help Documentation
Components of Swaplogic

Search
The search functionality of Swaplogic allows users and members to search for content that is available on Swaplogic.com. Swaplogic content includes:

Registration
Swaplogic requires that users that are interested in creating Bids/Asks (Classified Ads), Contracts, or creating any other content associated with an individual profile (such as uploading pictures, creating biographies, adding discussion comments) be registered. Swaplogic requires some information about your geographic location (address), your demographics (age and gender) as well as your profession. You can update most of this information at any time after you are registered.

Swaplogic requires your address because it helps facilitate finding you with our search tools. For example, if someone wanted to find a plumber in Columbus, Ohio, they would be able to search on those criteria. Specific address information is never revealed except in the form of proximity (in miles) to another searcher and the city that you live in. This is also the same reason that Swaplogic requests your profession during registration.

Swaplogic requires your age because we believe that it is fair your potential counterparties have an indication that you are old enough to enter into a legally binding agreement before they choose to enter into a contract with you.

The main point behind Swaplogic is that Members demonstrate accountability by creating track records. To demonstrate accountability, you must make some of your information public to the community. But Swaplogic allows you to keep your First and Last Name private from the community, by setting your account preference to "Private" during registration or at any time by editing your account preferences.

Some parts of your personal profile information are always kept private from the other members. These parts include the following:

You can also limit communication between yourself and other members by setting your communication preferences to disallow other members from contacting you through the Swaplogic servers. This can be done at the time of registration or any time after that by editing your account preferences.

Contracts
Contracts are agreements between two consenting participants. The details are stored on Swaplogic and email notifications are sent showing Contract details, negotiation communiqué, maturity and feedback notifications. Contracts, when complete, become part of the Swaplogic Public Domain and form the basis of each Members track record.

Only two people can be directly involved in a Contract. One is called the Originator, and the other is called the Counterparty. The Originator is simply the Member that first Drafts the Contract, while the Counterparty is the member that first receives the Draft Contract. There is one slight variation on the Originator/Counterparty relationship. When a Bid is created, the Originator will be the Member who drafted the Bid since they can receive an Invite to draft a Contract from a Member who is interested in the products/services offered by the Bidder. In the case of an Ask, the Originator is the Member who responds to the Ask, by creating a Contract which attempts to fulfill the request of the Asker.

Track Record and Feedback
The Swaplogic Feedback functionality allows users to review the performance of Members based on the parameters of a specific contract – this forms the member’s track record. Originator Feedback is the feedback left for the Originator has three components: General Comments, Pros and Cons. Counterparty Feedback is the feedback left for the Counterparty.  Counterparty Feedback has only one component: General Comments (does not include Pros and Cons).

Biography
Members can build their own Biography or let other build it for them! Reproduce your life story by documenting events. They are sorted in chronological order by the Swaplogic database, all you have to do is tell us about them, and add multimedia as you see fit!

Multimedia
Each Member has the ability to upload Images and Video to their own personal Swaplogic Multimedia Gallery. This uploaded content can be used by the Member for many purposes. Multimedia can be used in any of the following ways:

Credits
Credits are used as currency within Swaplogic. Each Member that signs up gets allocated 1000 free credits to start, and Swaplogic is designed to replenish credits for those members that demonstrate accountability in the community as you use the system so you probably won’t have to worry about getting more if you are just a typical user. If you are a high volume user of the system, you might have to consider purchasing more credits to support the volume of activity you are involved in.

Credits are charged when certain actions are performed (like creating Contracts, Bids or Asks). Credits are replenished when members file timely feedback and fulfill the terms of the Contracts they agree to, as well as on various milestones that Members encounter while building their track record (we’ll keep these as a surprise!). Credits may not be fully replenished when a member receives negative feedback, or if contract negotiations fail.

SwapScore
The SwapScore is a number derived from a proprietary algorithm that Swaplogic has created to estimate the accountability of a Swaplogic Member. The algorithm is based on variables associated with the Contract parameters as well as the Feedback provided by the Contract Participants after maturity of the agreement. The SwapScore is a number between 0 and 100. Every Member starts with a SwapScore of 50, which is considered an “average” SwapScore. The 50 SwapScore indicates that there is no reason to believe that the user is more or less credible/accountable than the average person. SwapScores of greater than 50 indicate that there is reason to believe that the Member is more credible/accountable than the average person. The closer the score is to 100, the more reason to believe that the Member is more credible/accountable than the average person. On the other hand, Swapscores below 50 indicate that there is reason to believe that the Member is less credible/accountable than the average person. The closer the score is to 0, the more reason to believe that the Member is less credible/accountable than the average person.

To be clear, the Swapscore is just one criteria that you might consider using when you are consider entering into a contract with a counterparty. The SwapScore is not a replacement for other due diligence, a qualified legal opinion or a guarantee of performance. A high SwapScore is not a guarantee that a counterparty will live up to the terms of a contract.

The score itself is calculated on a number of variables. Swaplogic protects the algorithm to prevent potential manipulation of track records and scores, but suffice it to say that all the variables of the scoring algorithm are all taken from either the contract parameters or the historical performance of the Member. The SwapScore is based on a forgiving algorithm, it accounts for the fact that people make honest mistakes and considers a number of factors in its calculations. So you need not worry that your public track record will be marred forever because of one or two slip ups in your track record.

Also related to the SwapScore are the Member’s SwapScore Trend and the Synopsis. The SwapScore Trend is a graphical representation of the trend that the Member’s SwapScore has taken over the past year. The Synopsis is a verbal summary of the member’s track record. It will give some additional guidance about how to interpret the Member’s Track Record.

Bids
Bids are essentially advertisements posted by Members to tell Swaplogic users and Members that they have a service or product to offer to the community. Bids are searchable by keyword, profession and proximity. There are no limits to what you can advertise as a Bidder, so be creative!

Asks
Asks, like Bids, are advertisements posted by Members. The difference is that Asks are requests for products/services from the Swaplogic Community instead of offers of products/services. By posting ask Ask, a Member is inviting other Members to provide them with a quote for a product/service. Asks are searchable by keyword, profession and proximity. There are no limits to what you can advertise as an Asker, so be creative!

Profile
The Swaplogic Member profile contains a number of important metrics, variables, and details about a Member’s track record. Some of the important features of the Swaplogic profile are the following:

Swaplogic Widget
The Swaplogic Widget is a piece of code that you can embed in your own website to share your up-to-the-minute SwapScore. Just copy and paste into your websites source code and share your track record with everyone! It is coming soon!

Swaplogic LIVE
Swaplogic LIVE is an instant messaging tool that is embedded within Swaplogic. With LIVE, you can talk to other Members in real time. Just log in using your regular Swaplogic username and password, and start chatting! You can search the online community of Swaplogic LIVE to talk to people in professions of all sorts. Ask them about what they do, or maybe some advice on a project where they might be experts. It doesn’t matter what you talk about, as long as you share and contribute to the Swaplogic community!

Member Profile Components

1. Public Profile
Each member has a Public Profile. This is a summary of the Member’s activity including the following: an avatar, the Member’s Vitals, contact information, Swaplogic Statistics, Swapscore, Swapscore Trend, Swapscore Synopsis, a freeform description of the Member and the services they can offer, the Member’s tags, and recent Contract/Bid/Ask activity. Members can change the privacy settings of their account at any time. Setting a profile to Private has limitations.

Things that are not kept private with the privacy settings

2. Track Record
The Member’s Track Record is a chronological summary of the Contracts that they have participated in, whether the Member was acting as the Originator or the Counterparty. This includes all of the Contracts that have reached the Complete. Contracts that are in any intermediate stage are not shown in the Track Record. Each Contract listed in the Track Record is a link to the details of the Contract including all of Terms and the Feedback.

3. Biography
The Member’s Biography is a section that allows Members to tell their own story through words, images and video! Members can also share their experiences with other Members by composing Biography events for them! If a Biography event is contributed by another Member, the recipient of the contribution has the opportunity to review, comment on and categorize the contribution to let the Swaplogic community know what they think about the contribution (be it good, bad or ugly!).

4. Marketplace
The member’s Marketplace is a summary of all of the Member’s active Bids and Asks that they have created in Swaplogic. Each Bid and Ask is shown in a classified-ad format.

5. Multimedia Gallery
The Member’s Multimedia Gallery is a collection of all of the multimedia uploaded by each member. Members can also regulate the privacy of each multimedia item by setting the status of the image or video to Public or Private. Making a multimedia item private does not restrict the Member from using it within their Bids/Asks/Contracts/Feedback, it only restricts the media from viewing by others within the Gallery. For help on uploading multimedia, go to the Uploading section.

Help with the Drafting of Contracts

DISCLAIMER: The Risk of Creating Contracts with a Counterparty
By submitting a draft contract to a Counterparty, you are making an offer to enter into a binding contractual agreement. If the terms of the agreement are accepted by the counterparty, both the Contract Originator and the Contract Counterparty are expected to fulfill the terms of the agreement, as well as agreeing to make the terms of the Swaplogic Contract and the performance outcome of the Originator and Counterparty part of the Swaplogic Public Domain. In other words, all contract terms (except the ‘Private Terms’ of a Swaplogic Contract, which are only visible to the Originator and the Counterparty) will be made public in the form of a performance track record for all Swaplogic visitors to view and analyze.

By failing to fulfill the contractual terms of a Contract that has been accepted by the Contract Counterparty, the Originator and Counterparty agree to accept Feedback, which may be positive or negative, and subsequently make it part of the Swaplogic Public Domain.

All liabilities and consequences of the contracts documented on Swaplogic, remain the liabilities and consequences of the registered members (that is, the contract originator and the contract counterparty). Swaplogic does not take any responsibility for any outcomes relating to contracts documented on Swaplogic.com. Swaplogic will not take any responsibility for the contract originator’s or the contract counterparty’s failure to comply with contract terms.

In summary, the functionality available on Swaplogic can be a very powerful tool for establishing an online presence and public track record, but please use common sense and prudence when documenting contracts on Swaplogic.com. Protect your private information at all costs - even in agreements with a counterparty that appears to be credible in your dealings with them. Swaplogic does not encourage or take responsibility for inappropriate, reckless, malicious or ill-conceived contractual agreements. Swaplogic is a community that thrives on the accountability of its members, and it is our goal to provide an environment to facilitate the growth of this community.

Originator
The Originator Username is the alias that is chosen by a member upon registration with Swaplogic.com. On the Contract Draft page, this field will be pre-populated with your personal alias once you log in.

Counterparty Username
The Counterparty Username is the alias that is chosen by a member upon registration with Swaplogic.com. You may need to verbally confirm with your counterparty before beginning drafting a contract with them just to ensure that you are negotiating with the correct Counterparty.

Credits Available
Upon registration with Swaplogic, each member is allocated a certain number of credits. Swaplogic employs a credit based system for two main reasons.

The good news is the Swaplogic system is designed to replenish your credits as long as you maintain a Swaplogic track record that exemplifies accountability and you file feedback on your contract counterparties in a timely manner.

Contract Type
The Contract Type is a parameter that describes the degree that the Originator is invested in the Swaplogic Contract. Currently, there are two options: a Promise and a Contract. In other words, by drafting the ‘Contracts’ instead of ‘Promises’, the Originator is conveying that they have more at stake in the transaction than if it were denoted as a ‘Promise’.

Swaplogic interprets the concept of a ‘Promise’ as the basic unit of accountability. Swaplogic (and hopefully its registered members) believes that we are all expected to act on and keep the promises that we make. In essence, a promise is the strength of our word. If a person is unable to keep promises, they cannot be trusted to honor a contract. Therefore, although Swaplogic ranks ‘Promises’ as having less stake with respect to a transaction, they do form the basics principles of accountability.

Swaplogic interprets the concept of a ‘Contract’ as a more critical unit of accountability. In the Swaplogic Public Domain, ‘Contracts’ are viewed as examples of strong work ethic, honor in a profession and a desire to exceed the expectations of friends, colleagues and customers. In the Swaplogic context, ‘contracts’ are the vehicle that can be to promote your excellence within your personal and professional life.

Title
The Title field is a descriptor that is used to describe the nature of the drafted Contract. The Originator should be as specific and detailed as possible when assigning a Title to the Contract. Accurate and descriptive Titles also aid search functions within Swaplogic.

Contract Category
The Contract Category is a classification used to sort, organize and group contracts for the benefit of Originators, Counterparties, and visitors of Swaplogic. The Contract Category is a broad classification for the type of contract being drafted by the Originator and must be selected for a contract to be added to the Swaplogic domain. The Contract Category does not have any intended influence or implications on the contract terms.

Contract Terms
The Contract Terms are the essence of the Swaplogic Contract. The Contract Terms are the rules that are agreed upon between the Originator and the Counterparty, and they are the benchmark that each Swaplogic Member can use to evaluate the performance of the Member on each side of the transaction. Swaplogic Members can feel free to exercise as much creativity as they like in drafting contract terms – there are no limits.

The Contract Terms are the parameters of the transaction. It is the section of the contract where the Contract Originator sets the requirements, limitations and details of a proposed contract. These can be negotiated by communication with the Counterparty. Here are a couple of examples:

Example 1: A loan from ABC (lender) to XYZ (the borrower)

Note that in the specific case of a Loan, the contract Originator should be the Borrower of the loan. This would be the appropriate party to originate the contract since they are staking their accountability on the line, and not necessarily the lender. Therefore, XYZ would draft a contract with Terms that might include the loan principal ($100), the interest rate charged (5% per annum), the frequency of payments (every month on the 1st of the month for 12 months), the interest calculation method (simple, not compounded), the amount of payments ($25, $25, $25, $30 – this is a payment of $100 in principal, and $5 in interest), and any other terms that the Originator feels are appropriate. This might include the consequences of failing to comply with the contract, rewards for early payment.

Example 2: ABC promises to take XYZ out to dinner

ABC would draft a contract with Terms that might include the restaurant name, the maximum value that ABC will be willing to pay including food, drinks and tips.

Example 3: ABC agrees to fix XYZ’s broken plumbing

ABC would draft a contract with Terms that might include the details of the repair (like replacing an old sink with a new sink and taps), an estimate of the amount of labour required in hours and the estimated completion date. In this case, there may be some sensitive information required for the Contract such as the cost of labor and the agreed upon price for the contracted work. Swaplogic suggests that Swaplogic Members apply common sense to protect this information by inputting some potentially sensitive Contract Terms into the ‘Private Contract Terms’ section of the Swaplogic Contract – the Private Contract Terms section of the Contract is only visible by the Originator and the Counterparty of the Contract regardless of the Contract Status).

Private Contract Terms
The Private Contract Terms section of the contract draft is the field where the Originator may enter terms that they would like to keep hidden from other members, even in the Swaplogic Public Domain. This is used to input Contract Terms that the Originator would like to include in the Contract, but would prefer not be visible to members or viewers that are not involved in the contract.

When Private Terms are recorded in a contract, members or viewers who are not either the Originator or the Counterparty in the Contract will not be able to see the terms and they will receive a message that says that the terms are Private. There are no limitations to the contents of the Private Terms field, but it is encouraged to make as many terms as possible part of the Swaplogic Public Domain as it increases transparency and contributes value to the community.

Examples of terms that might be suitable for the Private Contract Terms field include: labor rates, competitive prices, discounts, promotions that are being provided to a specific Counterparty, mailing addresses, and so on.

Swaplogic discourages including any personal information in this section of the Contract. Please use common sense and protect your personal information. Examples of personal information that should not be included in the Private Contract Terms include a Swaplogic Member’s full name, address, phone number, email, credit card numbers, banking information, or any other information that you would not give out freely and would like to protect.

DISCLAIMERS: Contract Terms
Swaplogic discourages including any personal information in this section of the Contract. Please use common sense and protect your personal information, since upon completion of the Swaplogic Contract, the information will be made part of the Swaplogic Public Domain. Examples of personal information that should not be included in the Contract Terms include a Swaplogic Member’s full name, address, phone number, email, credit card numbers, banking information, or any other information that you would not give out freely and would like to protect.

Maturity Date and Time
The Maturity Date is the date and time that the contract will mature on. At maturity, you will receive an email prompting you that your contract has matured and you will be prompted to provide Feedback on the performance of your counterparty.

This timestamp, as are all timestamps on Swaplogic, is recorded in relation to Greenwich Mean Time (GMT). This is to simplify and standardize the marking of Contract Maturities. If you do not live in GMT time zone, please be aware that all timestamps recorded in the Swaplogic domain are in relation to this time zone and that you should be prepared to adjust to this eccentricity. Guidance is provided for members for the time zone adjustment via the maturity (Local time) feature. This converts the GMT Maturity, to the Local Computer time.

Maturity (Local time)
Currently, all contract maturities used on Swaplogic are set in relation to Greenwich Mean Time (GMT). When selecting a Contract maturity, Swaplogic has provided some guidance by converting the selected maturity to the Member’s Local Machine Time (that is, the time and time zone that your computer is set to). For example, if you are viewing any give Contract Details on a computer in New York City, your locally adjusted Maturity will be GMT-05:00 during Standard Time (as opposed to Daylight Savings Time). This guidance is provided so that you can make the appropriate decisions when selecting Contract Maturity.

Images and Videos
Whenever you draft a Contract, you are able to associate images and videos with that contract. It can be anything that is in your multimedia gallery. Multimedia can be used as a replacement for text to show what the contract terms are. There are no limits to using multimedia to enhance your contracts, so be creative!

Validation Code
Swaplogic employs a common system that discourages abuse within the community by way of visual confirmation software. The Validation Code is a tool used to separate automated access of the system from human access, and encourage legitimate use of this website. If you are having difficulty reading the letters or numbers in the image, simply click on the image and a new one will be generated.

The validation code may contain any of the letter of the English (US) Alphabet in Capital Letter form or the numbers 1 through 9 (the number zero is excluded to limit confusion from the capital letter “o”).

Help with the Responding to Contract Offers

What to do when you get a Contract Draft
Since you will not always be the Orginator of the Contract, you may receive Contract Drafts from other Members. When you are reviewing the Drafted Contract, you will see additional information that is not available at the time of Drafting. It is up to you to review these details and decide if you want to accept the Contract Offer.

Contract Source
The Source of a Contract is an indicator as to where the Contract originated from. In other words, if the Contract was drafted in response to a Bid or an Ask, the Source identifier will show the associated Bid or Ask number that contributed to the creation of the Contract.

Date Drafted
The Date Drafted is a timestamp taken at the moment that the contract draft is created by the Originator in the local time zone of the Originator.

Date Finalized
The Date Finalized is a timestamp taken at the moment that the contract draft is accepted by the Counterparty in the local time zone of the Counterparty.

Contract Factor
The Contract Factor, which is a Counterparty input that is submitted after receiving a Contract Draft, is an important tool that the Counterparty uses to express the degree of importance that this contract holds with them. In other words, if the Counterparty feels that the performance of the Originator is absolutely critical, the Counterparty would select the ‘High’ Contract Factor. Alternatively, if the Counterparty had less at stake in the performance of the Originator, the Counterparty might select the ‘Medium’ or ‘Low’ Contract Factors. This is the equivalent of setting the stakes of the Originator’s accountability in the Contract and Transaction. As a general rule, the higher the value of the stakes to the Counterparty, the greater the impact on the Originator’s accountability.

Contract Status
The Contract Status is a notification of the current status of the contract. The options are the following:

Status of Feedback Comments Left by the Counterparty
The Feedback Status is a flag that indicates that the Counterparty has provided Feedback on the performance of the Originator. The feedback status has only two possible options: ‘Pending’ and ‘Complete’. If the Feedback is ‘Pending’, the Counterparty has not yet provided Feedback on the performance of the Originator.

Status of Feedback Left by Originator
The Feedback Status is a flag that indicates that the Originator has provided Feedback on the performance of the Counterparty. The feedback status has only two possible options: ‘Pending’ and ‘Complete’. If the Feedback is ‘Pending’, the Originator has not yet provided Feedback on the performance of the Counterparty.

Help with Matured Contracts and Leaving Feedback

General
Once a contract has matured, members are required to provide feedback on each participant’s performance. The Counterparty has the opportunity to leave general comments as well as Pros and Cons about the Contract Originator. In turn, the Contract Originator may leave general comments for the Contract Counterparty.

Feedback Comments Left for the Originator
The Feedback Comments are the text based commentary left by the Counterparty on the Originator’s performance. The comments should provide helpful feedback on the accountability of the Originator by evaluating their performance. The intent of the Feedback should not be spiteful, only statement of fact as perceived by the Counterparty. Currently the limit imposed on Feedback Comments is 250 characters (including spaces).

Feedback Comments Left for the Counterparty
The Feedback Comments are the text based commentary left by the Originator on the Counterparty’s performance. The comments should provide helpful feedback on the accountability of the Counterparty by evaluating their performance. The intent of the Feedback should not be spiteful, only statement of fact as perceived by the Counterparty. Providing “pros and cons” can be helpful for other Members using the site. Currently the limit imposed on Feedback Comments is 250 characters (including spaces).

Feedback Rating Left for the Originator
The Feedback Rating is the tool used to convey whether or not the Originator is credible or not. That is, the feedback rating should be used to communicate the performance of the Originator. There are only two options for the Feedback Rating: Positive and Negative. Be mindful of the feedback ratings that you leave in the Swaplogic system as a Member’s accountability depends greatly on your selection!

Feedback Rating Left for the Counterparty
The Feedback Rating is the tool used to convey whether or not the Counterparty is credible or not. That is, the feedback rating should be used to communicate the performance of the Counterparty. There are only two options for the Feedback Rating: Positive and Negative. Be mindful of the feedback ratings that you leave in the Swaplogic system as a Member’s accountability depends greatly on your selection!

Pros’ Comments left for the Originator
The ‘Pros’ Feedback Comments are the text based commentary left by the Counterparty on the Originator’s performance and are a summary of the “good things” about the Originator. The comments should provide helpful feedback on the accountability of the Counterparty by evaluating the benefits of transacting with this Originator. The intent of the Feedback should not be spiteful, only statement of fact as perceived by the Counterparty. Currently the limit imposed on ‘Pro’ Feedback Comments is 250 characters (including spaces).

‘Cons’ Comments left for the Originator
The ‘Cons’ Feedback Comments are the text based commentary left by the Counterparty on the Originator’s performance and are a summary of the “things that need improvement” about the Originator. The comments should provide helpful feedback on the accountability of the Counterparty by evaluating the benefits of transacting with this Originator. The intent of the Feedback should not be spiteful, only statement of fact as perceived by the Counterparty. Currently the limit imposed on ‘Con’ Feedback Comments is 250 characters (including spaces).

Feedback in the Form of Multimedia
Both the Originator and the Counterparty can leave feedback in the form of Images ad Video that they have uploaded to their Swaplogic Multimedia Gallery. For help on uploading multimedia content, visit the Help section dedicated to Uploading. Once content is uploaded, it can be selected and associated with a contract as feedback. Images and video can be used in a number of ways; multimedia can show both positive and negative feedback. It can also be used to show “before” and “after” results of a service. Or, you can just use it to express your feedback without having to type a single word! Be creative!

Help with Creating Bids

General
Bids are offers of products or services. By creating a Bid, a Member (also known as the Bid Owner) is telling the users of Swaplogic that they have a product or service to offer. The Bid is akin to an advertisement.

Posting Duration
Bids can be posted for durations of 3, 7, 14 and 30 days. Each requires a different number of Credits. If you do not receive any responses to your Bid, your credits will be reimbursed.

Product/Service Selector
Bids can be for either a Product or a Service. Choose the category that best represents the subject of your Bid.

Profession/Job
The Profession/Job field identifies the profession of the Bidder, or alternatively the capacity in which the bidder will be acting. For example, if a lawyer was offering legal services, he would select “Lawyer”. If a Mechanic would like to do some moonlighting as an Artist, the Member would select “Artist” and post a Bid offering and Artist’s products or services.

Product Category
The Product Category can be used to describe the Product that an individual is trying to Bid or Ask.

Title
The Title field is a descriptor that is used to describe the nature of the Bid. The Bid Owner should be as specific and detailed as possible when assigning a Title to the Bid as it will facilitate effective communication and to help potential counterparties in searching for their Bid. Accurate and descriptive Titles also aid search functions within Swaplogic.

Bid Terms
The Bid Terms are the details of the offer of products or services. Feel free to include any details of the product/services you are prepared to offer. Note that Bid details can allow for most HTML! So be creative!

Bid Price, Currency, Units
The Bid price is the monetary amount requested for the transaction. It can be an approximate number, and may be finalized in the contract. The currency can be one of many different types (USD, CAD, EUR, GBP, etc). The Unit indicates the price variability due to volume.

Location
Bids can be created with a specific location in mind. For example, if a Bidder is willing to offer a particular service in their local town, the Bidder would select “At the address that I have registered with Swaplogic”. Alternatively, if a Bidder is interested in offering a service in a metropolitan area outside of the region that they live in, they can select “At another address…” and then pick a metropolitan area that they are willing to provide the service in. This allows Swaplogic Members to act globally!

Multimedia
Bidders can use multimedia to show exactly what they are offering. For example, if a Bidder is selling a 1967 Corvette, they might assign some pictures and video that show the condition of the vehicle.

Tags
Bidders can assign tags to help other Members find their Bid in a search.

Active Bids

General
Once a Bid is posted, its status is set to Open and it is publicly searchable. Bids are public announcement that a member is willing to provide a product or service, much like an advertisement. Bids are valid as long as the Status of the Bid remains open. Members that are interested in the products/services offered in the Bid are able to Invite the Bid Owner to begin a contract negotiation. From there, the regular contract negotiation process begins. Members that are interested in creating an Invite Contract for the Bidder must exercise caution since each individual member can only respond to an Bid one time only!

Bid Number
This is the unique identifier for each Bid.

Bid Status
Bid status can be either “Open” or “Closed”. When the Bid Status is Open, the members can inquire about the Bid and submit an Invite for the Bidder to send the interested member a Contract. The Bid Owner can receive an unlimited number of responses to the posted bid while the Status is set to Open. When the Bid Status changes to Closed, the Bid is no longer searchable, and the Bid Owner cannot receive any new responses to the Bid (outstanding Bid Responses received before the bid expires are still valid).

Date Drafted
Date drafted is the date that the Bid Owner posted the Bid.

Time to Expiry
Time to expiry is the remaining time until the Bid Status is turned from “Open” to “Closed”. Once the time has expired, the Bid Owner can no longer receive any responses to the Bid.

Bid Owner
The Bid Owner is the Member that posted the Bid on Swaplogic.

Responding to Bids

General
By responding to a Bid, a Member is inviting the Bid Owner to compose a Contract with the Member as the Counterparty and the Bid Owner as the Contract Originator. A response to a Bid is stored in the Swaplogic database as an Invite. The invite is reviewed by the Bid owner and if they are interested in offering the Counterparty a Contract, they will accept the Invite and create a Contract Draft. From this point, the process is the same as the Standard Contract process.

Limits on Bid Responses
Swaplogic limits the number of times a Member can respond to a Bid to one. This is designed to encourage a serious negotiating demeanor between the Originator and Counterparty. If an Invite is created by responding to a Bid and the contract negotiation fails, the member cannot initiate another Invite on the same Bid.
